CADET LEGAL ADVISES SELLER ON DIVESTITURE OF NON-CORE ASSETS FOR AN ARTIFICIAL INTELLIGENCE COMPANY
(March 26, 2026) – Cadet Legal represented a generative AI startup on its sale of certain non-core assets to another startup in the artificial intelligence space. The buyer also acquired the services of team members who were involved in the development of the assets being sold.
Following this transaction, Cadet Legal’s client will continue to operate under the same name and branding while focusing on a narrower range of AI-enabled marketing services. This strategic move positions the seller to benefit from the increasing demand by marketing professionals and agencies for artificial intelligence tools tailored to streamline their workflows.
While, historically, Cadet Legal’s mergers and acquisitions practice has featured more buy-side work, this client win highlights the firm’s regular sell-side activity. The transaction also confirms trends that Cadet Legal has been observing and driving in real time: startups leaning into inorganic growth via M&A and the alignment of intellectual property and talent as the driving force for most startup transactions. Rather than building capacity from scratch, the buyer has positioned itself to build around its newly acquired talent and intellectual property assets. The seller, for their part, sees this sale as an opportunity to stimulate growth inorganically, both by freeing up resources to devote to their revamped business strategy and by creating a more clean fundraising narrative.
Denzel R.B. Cadet, Esq., founder and Managing Member of Cadet Legal, led the team advising the seller, supported by intellectual property counsel, Anu Kinhal, and law clerk, Talha Wajeeh.
Cadet Legal’s full-service M&A team advises independent sponsors, single-check equity investors, and other asset managers throughout the entire investment lifecycle, from formation to fundraising to transaction execution, including acquisitions, majority and minority equity investments, ongoing portfolio company maintenance and financing, and exits.
